About This Course

The agreements behind every transaction

All forms of business involve generating sales, and sales involve forming contracts. Contract law is an essential topic for anyone involved in business, law, intellectual property, technology transfers, and other transactions.

This course covers contract formation, consideration, performance, breach, and the various defenses that may be assembled to prevent contract enforcement. You'll work through both the Uniform Commercial Code, which governs the sale of goods, and the common law that governs services — and learn how courts identify, interpret, and ultimately enforce the terms the parties agreed to.

A certificate of completion is awarded when you successfully complete the course.

Learning Objectives & Outcomes

What you'll be able to do

  • Form verbal and written contracts that are legally binding.
  • Distinguish when the Uniform Commercial Code governs the sale of goods from when the common law governs services — and why the difference matters.

  • Explain the role of consideration in a binding agreement, and recognize valid substitutes for it.
  • Appreciate how contractual terms and provisions are identified and interpreted in court.
  • Assess contract performance and recognize what does — and does not — constitute a breach.
  • Understand the rights and obligations of third parties: assignees, delegatees, and intended beneficiaries.
  • Understand the ways in which contractual duties are discharged.
  • Determine and calculate the remedies available for breach of contract.
  • Identify several of the key defenses raised by defendants accused of breaching a contract.
